Eligibility to use services
Use of Viritala services requires legal capacity and compliance with local laws. Accounts are intended for businesses and professionals seeking AI integration and automation solutions. Users must not access or use services for unlawful activities or to process personal data in violation of applicable law.
Users must be the age of legal majority in their jurisdiction to enter into contracts. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these terms.
You agree to use Viritala services in a lawful manner and not to engage in fraudulent, abusive, or harmful activities. Processing of sensitive personal data requires appropriate legal basis and safeguards; ensure you have the necessary permissions.
Access to Viritala services may be restricted in certain jurisdictions. It is your responsibility to ensure that use of the services complies with local export controls, sanctions, and other activity regulations.
User accounts and responsibilities
Creating an account with Viritala enables access to configuration interfaces, integrations, and support materials. Account access is subject to these terms and to any additional service-specific agreements.
You must provide accurate and complete information when creating or updating an account. Keep account contact details current to receive notices about service changes, billing, and security.
You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. Implement reasonable security measures, such as strong passwords and access controls.
Accounts and associated credentials are non-transferable except with the prior written consent of Viritala. Any assignment without consent may be void.
If you suspect that your account has been compromised, notify Viritala promptly through the contact details provided. We will take reasonable steps to contribute and to secure affected accounts.
Viritala may suspend or restrict account access to protect users, to contribute suspected misuse, or to comply with legal obligations. Where practicable, notice will be provided before suspension.
Service scope and use
Viritala provides AI integration, automation services, and related consultancy. Service descriptions, available features, and documentation are provided on aqriala.digital and in any applicable order forms or agreements.
Service features and components may be updated, improved, or deprecated. Viritala will provide notice of significant changes and maintain compatibility information in documentation where relevant.
Viritala aims to maintain reasonable availability of services but does not warrant uninterrupted access. Maintenance windows, third-party outages, and other events may affect availability.
Usage rules
Users must follow operational and ethical rules when using Viritala services. The following non-exhaustive list outlines prohibited behaviors.
- Do not attempt to reverse-engineer, decompile, or otherwise derive source code of Viritala software unless expressly permitted.
- Do not use services to create, distribute, or promote illegal content, or to facilitate unlawful activities.
- Do not bypass usage limits, security controls, or access restrictions imposed by Viritala.
- Do not upload or process personal data without a lawful basis and any required consents or notices.
- Do not submit content that infringes third-party intellectual property rights or violates privacy rights.
- Do not interfere with other users’ access or attempt to gain unauthorized access to systems and data.
- Comply with applicable export controls, sanctions, and legal requirements when using integrations and third-party services.
User content and submissions
Users may provide data, configurations, or other content to Viritala in connection with services. Such content is subject to these terms and any specific agreements.
You retain ownership of content you submit to Viritala. By submitting content, you represent that you have the necessary rights to do so and that the content does not violate applicable law.
By using the services you grant Viritala a limited, non-exclusive, royalty-free license to store, process, and transmit submitted content as necessary to provide the services and to maintain system operations.
You are responsible for the legality, accuracy, and appropriateness of user-submitted content. Ensure that personal data handling complies with applicable privacy laws and organizational policies.
Viritala may remove content that violates these terms or applicable law. Requests to remove content should include sufficient information to identify the content and the basis for removal.
Intellectual property
Viritala retains intellectual property rights in its platform, models, tools, and documentation. Users are granted only the rights expressly stated in these terms or in a separate agreement.
- Do not reproduce Viritala activity, logos, or copyrighted material except as permitted in writing.
- Do not use Viritala intellectual property to create competing services or derivative products without authorization.
- Respect third-party intellectual property rights and ensure you have rights to any content you upload.
Paid services and billing
Paid offerings supplement Viritala’s standard services and may include subscription licenses, professional services, or usage-based billing. Specific terms are set out in order forms and invoices.
Pricing for paid services is provided in quotes or on the aqriala.digital pricing pages and is subject to the terms in the applicable order form. Taxes, duties, and additional fees may apply depending on jurisdiction.
Payments are due according to the schedule in the applicable order form. Accepted payment methods will be specified in invoices. Late payments may result in suspension of services.
Subscription services renew as specified in the order; cancellation instructions and notice periods are provided in the order form or service agreement.
Refunds, if any, are evaluated on a case-by-case basis in accordance with the applicable order and local consumer protection laws. Neither party should interpret this as an assurance of refunds in all situations.
Cancellation of paid services must follow the procedure in the order form. Outstanding fees for the remainder of a committed term may be due where applicable and permitted by law.
Customers are responsible for taxes applicable to their purchases unless a valid exemption is provided. Viritala may collect taxes where required by law.
Viritala may adjust pricing for services with notice as specified in agreements. Existing orders remain subject to the pricing in effect at the time of order unless otherwise agreed.
In cases of non-payment, Viritala may suspend access after providing notice. Reinstatement may require payment of outstanding balances and any applicable fees.
Disclaimer and risk allocation
Services are provided "as is" except as set out in a separate agreement. Viritala does not make statements promising specific business outcomes from the use of its AI integration and automation solutions.
Limitations of liability
To the extent permitted by law, Viritala’s liability for damages arising from use of services is limited to direct damages and capped at amounts paid by the customer for the services in the relevant period. Viritala is not liable for indirect, incidental, or consequential losses.
Third-party services and integrations
Third-party services, integrations, and content may be made available through Viritala. Such third-party items are governed by their respective terms and privacy notices; Viritala is not responsible for third-party conduct or offerings.
Termination and suspension
Either party may terminate the agreement in accordance with the termination provisions in the applicable order. Viritala may suspend or terminate access for breach or unlawful activity after notice where appropriate.
Upon termination, access to services will cease and any outstanding fees become due. Viritala may retain certain data as required by law or to enforce its rights; data return or deletion processes are governed by the applicable agreement.
Privacy and data protection
Viritala processes personal data in accordance with its privacy policy available at aqriala.digital/privacy. The policy describes categories of data collected, purposes of processing, retention practices, and user rights.
Communications and notices
Notices to users will be sent to the contact details provided in the account or via the aqriala.digital platform. Legal notices to Viritala should be sent to the address listed in these terms.
Changes to terms
Viritala may update these terms to reflect changes in legal or operational requirements. Material updates will be communicated in a timely manner; continued use after notice constitutes acceptance of the updated terms.
Governing law
These terms are governed by the laws specified in the applicable agreement. For services delivered in Malaysia, relevant Malaysian law may apply; specific governing law will be set out in the order form.
Dispute resolution
Disputes should first be addressed through informal discussions between designated representatives. If unresolved, the parties may pursue mediation or arbitration as provided in the applicable service agreement.
